Last Updated: 7 February 2025

Effective Date: 7 February 2025

Please read these Terms and Conditions carefully before using the services or website of Calmridge. By engaging our services or submitting an enquiry, you agree to be bound by these Terms. If you do not agree, please do not proceed.

1. Definitions

2. Acceptance of Terms

By submitting an enquiry, requesting an assessment, or entering into a care admission arrangement, you confirm that you are 18 years of age or older and have the legal capacity to enter into this Agreement. If you are acting on behalf of a Resident, you confirm you have the authority to do so.

3. Service Description

Calmridge provides three care programs:

The scope of services for each Resident is confirmed in an individual care plan prepared at the time of admission. Services are available to residents based in Thailand. Calmridge reserves the right to decline admissions where our care scope is not suitable for a Resident's medical needs.

4. Admission and Care Arrangements

Admission to Calmridge follows a structured process including an initial consultation, a care needs assessment, and the signing of an admission agreement. Admission is subject to availability and Calmridge's assessment that the Resident's care needs fall within our current capabilities.

5. User Responsibilities

Family Contacts agree to:

6. Intellectual Property

All content on the Calmridge website — including text, images, and design — is the property of Calmridge. You may not reproduce, distribute, or use this content without prior written permission.

7. Payment Terms

Fees for care services are specified in the admission agreement and are payable in Thai Baht (āļŋ). Standard payment terms are monthly in advance for long-term programs and weekly in advance for respite stays. Calmridge reserves the right to adjust fees with reasonable notice of no less than 30 days. Unpaid balances may result in a review of the care arrangement.

8. Service-Specific Terms

Long-Term Residential Care: Ongoing care is provided under a rolling monthly arrangement, terminable by either party with 30 days' written notice. Admission fees (if applicable) are non-refundable.

Respite Stays: Bookings are confirmed upon deposit payment. Cancellation within 72 hours of the stay start date may result in forfeiture of the deposit. Calmridge will make every effort to reschedule where possible.

Memory Support Program: This program requires an admission assessment before acceptance. The care plan is reviewed quarterly or as significant changes in condition are noted.

9. Disclaimers

Calmridge provides residential and supportive care — we are not a hospital and do not provide acute medical treatment. Care is provided "as available" and may be subject to staffing and capacity constraints. We do not represent that specific outcomes will result from our care programs. Recommendations from our nursing staff are supportive, not a substitute for formal medical advice.

10. Limitation of Liability

To the maximum extent permitted by Thai law, Calmridge's liability for any claim arising from our services is limited to the fees paid by the Family Contact in the three months preceding the claim. We are not liable for indirect or consequential damages arising from care-related decisions made by family members.

11. Termination

Either party may terminate the care arrangement with 30 days' written notice. Calmridge reserves the right to terminate immediately where the safety of the Resident or other residents is at risk, or where payment obligations are not met following reasonable notice.

12. Dispute Resolution

In the event of a dispute, we encourage direct communication with our care management team in the first instance. If unresolved, disputes will be subject to the jurisdiction of the courts of Bangkok, Thailand, under Thai law.

13. General Provisions

14. Changes to These Terms

Calmridge may update these Terms from time to time. Changes will be communicated to active Family Contacts with at least 30 days' notice. Continued engagement with our services following that notice period constitutes acceptance of the updated Terms.
